Malaria Consortium U.S. is governed by a volunteer, unpaid and independent Board of Directors. They are supported by the Chief Executive of Malaria Consortium, the Head of Finance, and a dedicated MC-US Representative.
The Board is governed by a set of By-Laws to include details on the tenure of Directors and the functions of the 501c3 organization.
The Board of Directors are responsible for providing oversight and grant decision-making for MC-US, ensuring the organization has a clear vision, mission, and strategy in line with Malaria Consortium’s strategic direction. Acting with the highest ethical standards, Directors ensure all grant activities advance the mission of Malaria Consortium and benefit its intended communities.
Working closely with fellow Directors, the Chief Executive, Head of Finance, and the US Representative, the Board reviews and approves grant applications, oversees finances, monitors strategic progress, ensures compliance with MC-US bylaws and all applicable legal and regulatory requirements, including Section 170(c)(2)(B) of the Internal Revenue Code.
Directors also recruit and orient new members, participate in bi-annual board meetings, promote MC-US publicly and support fundraising.
There are currently six active Board Directors.
MC-US retains a pro bono legal counsel from Morrison & Foerster LLP, a leading international law firm based in Washington, DC.
